1. Who these terms are with
ClipSpark AI ("the Service") is operated by [LEGAL NAME NOT CONFIGURED], of [ADDRESS NOT CONFIGURED] ("we", "us"). By creating an account or using the Service you agree to these terms. If you do not agree, do not use the Service.
2. Your account
You must give an email address you control and keep your password to yourself. You are responsible for everything done through your account. Tell us promptly if you think someone else has access to it.
One person or organisation per account. Do not share an account to get around a plan's limits, and do not create additional accounts to claim the free allowance repeatedly.
You must be old enough to enter a contract where you live. If you are using the Service on behalf of a company, you are confirming you have authority to accept these terms for it.
3. What you upload
You keep ownership of everything you upload and of the clips produced from it. We claim no rights in your content beyond what we need to run the Service: storing your files, processing them, sending them to the AI providers named in our Privacy Policy for analysis, and showing them back to you or to anyone you share a link with.
You confirm that you have the right to upload what you upload. Do not upload material you do not own or have permission to use. Rights holders can report infringement under our Copyright Policy.
You must not use the Service to process content that:
- infringes someone else's copyright, trademark, or other rights;
- is sexual content involving minors, or any other material that is illegal where we or you operate;
- depicts a real person in a sexual or degrading way without their consent;
- incites violence against people, or exists to harass a specific person;
- you obtained by breaking into someone else's account or system.
We do not pre-screen uploads. We do act on reports, and we may remove content and suspend an account for a breach of this section.
4. Using the Service fairly
Do not:
- attempt to break, overload, or probe the Service, or bypass its rate limits, quotas, or credit accounting;
- resell access to the Service, or wrap it in your own product, without written agreement from us;
- scrape it, or run automated clients against it, other than through an interface we have documented for that purpose;
- reverse-engineer, or attempt to extract the models or prompts behind the analysis.
5. Credits, plans, and payment
Processing is charged in credits. What a video costs is published on the pricing page before you upload. Credits are reserved when a job starts and charged when it completes; a failed or cancelled job returns the reservation.
Paid plans renew automatically each period until cancelled. Monthly credits included with a plan reset at the start of each period and do not accumulate. Credits bought as a one-off pack do not expire and remain with the account after a cancellation.
Payments are taken by Polar, which acts as the merchant of record for every purchase. In practice that means Polar resells the Service on our behalf: your card details are entered on Polar's own page and never reach our servers, the charge on your statement is Polar's rather than ours, and Polar issues the invoice and receipt and is responsible for collecting and remitting any sales tax or VAT due on the sale. Your agreement with us for the Service itself, set out in these terms, is unaffected. Prices may change; we will give notice before a change affects a renewal, and a change never applies to a period you have already paid for.
Refunds are governed by our Refund Policy, which forms part of these terms.
If a payment fails we may pause processing until it is settled. Your account, your existing clips, and any credits you bought outright are not deleted for non-payment.
6. Storage and deletion
Uploaded source video is kept for a short period so a failed job can be retried, then deleted. Clips are kept for the retention window of your plan and then deleted. We warn you by email before clips reach the end of that window, but the deletion is real and permanent — keep your own copies of anything you need.
Deleting your account removes your projects, clips, and credit history. It cannot be undone.
7. Availability, and what the Service does not promise
The Service is provided as it is. We work to keep it running and we do not guarantee that it will be uninterrupted, or that processing will always succeed.
Clip selection is a judgement made by an AI model. We do not promise that the moments it picks will be the ones you would have picked, that subtitles will be accurate, or that any clip will perform on any platform. That is why several candidates are offered and why each shows its reasoning.
To the extent the law allows, we exclude implied warranties of merchantability and fitness for a particular purpose.
8. Limits on liability
Nothing here limits liability that cannot lawfully be limited — including for death or personal injury caused by negligence, or for fraud.
Otherwise, and to the extent the law allows: we are not liable for lost profits, lost revenue, lost data, or indirect or consequential loss; and our total liability arising out of the Service is limited to the greater of the amount you paid us in the twelve months before the claim, or USD 50.
Your remedy for clips you needed and did not get is not to have paid for them — see the Refund Policy.
9. Suspension and termination
You can stop using the Service at any time and delete your account from your settings. We may suspend or close an account that breaches these terms, that is being used to abuse the Service or another user, or where we are required to by law. Where it is reasonable to do so, we will tell you why and give you a chance to put it right first.
If we close your account for a breach, unused credits are not refunded. If we discontinue the Service entirely, we will refund the unused portion of any prepaid period.
10. Changes to these terms
We may update these terms. The effective date at the top changes when we do, and material changes will be notified by email or in the application before they take effect. Continuing to use the Service after that means you accept the new version.
11. Governing law
These terms are governed by the law of [JURISDICTION NOT CONFIGURED], and disputes will be heard by the courts of [JURISDICTION NOT CONFIGURED]. If you are a consumer, this does not take away rights you have under the law of the country you live in, including the right to bring a claim in your local courts.
